These Terms of Use describe the terms and conditions that govern your use of the Service. Please read these Terms carefully before using our Service.

By accessing and using the Service, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Use, please do not use our Service.

Interpretation and Definitions

Words beginning with a capital letter have meanings defined under the following conditions. The following definitions have the same meaning regardless of whether they appear in singular or plural.

Definitions

• Account: Account means a unique account created for you to access our Service or parts of our Service.
• Company: Company (referred to as 'Company', 'We', 'Us' or 'Our' in this Agreement) means SerpDino.
• Country: Country means: United States
• Content: Content means any text, data, information, software, or other material that appears or is accessible through the Service.
• Device: Device means any device that can access the Service such as a computer, mobile phone, or tablet.
• Service: Service means the Website and all related services provided by the Company.
• Terms of Use: Terms of Use (also referred as 'Terms') mean these Terms of Use that form the entire agreement between you and the Company regarding the use of the Service.

• You: You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

User Accounts

To access certain features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your email address, name, and payment information.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You agree that the information you provide to us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

Subscription and Payment

The Service is provided on a paid subscription basis. We offer various subscription plans with different features and pricing. By subscribing to our Service, you agree to pay all fees associated with your chosen subscription plan.

We offer a free trial that provides 500 SERP position update credits for a period of up to 7 days, whichever limit is reached first. No payment information is required to start a free trial.

Once your monthly SERP update limit is reached, all active projects will be frozen until the start of your next billing period. Frozen projects retain their data but will not receive new position updates. If your subscription remains inactive for an extended period, we reserve the right to delete all projects and associated keyword data from your account.

An Enterprise plan with higher limits and dedicated resources is currently in development. Please contact us for more information.

All payments are processed securely through third-party payment processors such as Stripe or cryptocurrency payment gateways. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.

Automatic renewal is enabled by default for all subscriptions. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You will be charged the subscription fee for the upcoming billing period. You can cancel your subscription at any time through your account settings, and the cancellation will take effect at the end of your current billing period.

Refunds are provided at the sole discretion of Paddle (our Merchant of Record) on a case-by-case basis. For complete details, please see our Refund Policy page.

We reserve the right to change our subscription fees at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any 'junk mail', 'chain letter', 'spam', or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend the Company or users of the Service or expose them to liability.
• To use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
• To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service without our prior written consent.
• To use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
• To introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

You retain all rights to any content you submit, post, or display on or through the Service. By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Service.

Data Collection and Use

We collect and use your personal data in accordance with our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

The Service collects and stores website URLs, keywords, and search position data that you provide for monitoring purposes. This data is used to provide you with position tracking and analytics services.

We use analytics tools to monitor and analyze the use of the Service. This information helps us improve the Service and provide better features and functionality.

Service Availability and Modifications

We strive to ensure that the Service is available 24/7. However, we do not guarantee that the Service will always be available, uninterrupted, or error-free. We may need to suspend the Service for maintenance, updates, or other reasons.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

The Service is provided 'as is' and 'as available' without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

In no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
• The defamatory, offensive, or illegal conduct of any third party

In any case, the Company's total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you, if any, for accessing the Service during the six (6) months prior to the event giving rise to the liability.

Termination

You may terminate your account at any time by contacting us or by using the account deletion feature in the Service settings. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Use.

Upon termination, all provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. All data associated with your account may be deleted upon termination in accordance with our data retention policies.

Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in United States, using the English language in accordance with the Arbitration Rules and Procedures of the country then in effect.

Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Service; (b) your violation of any term of these Terms of Use; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Consumer Rights and Applicable Laws

If you are a consumer residing in the European Union, you benefit from mandatory provisions of consumer protection law in your country of residence. Nothing in these Terms affects your statutory rights as a consumer that cannot be waived or limited by contract.

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) regarding your personal information. Please refer to our Privacy Policy for detailed information about your California privacy rights.

These Terms and your use of the Service are governed by the laws of the jurisdiction specified in the Dispute Resolution section. However, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.

Changes to These Terms of Use

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
